Job Description
A US-based subsidiary of an international critical minerals investment company focused on energy transition and strategic resource supply chains is seeking a Senior Legal & Compliance to join its growing US legal function.
This is a confidential opportunity to work closely with senior leadership during a significant period of growth, supporting strategic corporate initiatives, capital raising activities, corporate transactions and the continued development of the US business.
The successful candidate will play a key role across corporate transactions, securities law, corporate governance, commercial contracting and regulatory compliance, acting as a trusted legal partner within a lean, fast-paced international organisation.
Key Responsibilities
- Support and coordinate mergers, acquisitions, corporate transactions and related legal due diligence.
- Assist with capital raising activities, financing transactions and associated legal documentation.
- Review, draft and negotiate a broad range of commercial contracts, including NDAs, supplier agreements and other corporate agreements.
- Support securities law compliance, including public company governance, disclosure obligations, regulatory filings and ongoing compliance requirements.
- Maintain corporate records and assist with board governance and corporate secretarial matters.
- Coordinate with external legal counsel, financial advisers and other professional service providers.
- Conduct legal and regulatory research and monitor developments affecting the business.
- Support compliance monitoring, policy implementation and internal governance processes.
- Maintain legal, compliance and contract management systems and records.
- Provide practical legal and compliance support to business stakeholders across the organisation.
Qualifications & Experience
We are seeking candidates with 7–15 years' legal experience gained within a leading law firm, publicly listed company, organisation preparing for an IPO, or another sophisticated in-house legal environment.

Essential
- 7–15 years' relevant legal experience.
- Experience supporting mergers and acquisitions, corporate transactions and legal due diligence.
- Working knowledge of US securities laws and the legal obligations of publicly listed companies.
- Experience supporting a publicly listed company or an organisation preparing for an IPO, or advising listed companies in private practice.
- Strong experience drafting, reviewing and negotiating commercial contracts.
- Excellent understanding of corporate governance and regulatory compliance.
- Strong drafting, analytical and organisational skills.
- Ability to work independently, prioritise competing demands and operate effectively in a fast-paced environment.
Highly Desirable
- Experience supporting capital markets transactions, equity fundraising or other financing activities.
- Experience within the energy, mining, infrastructure, technology, telecommunications, financial services or other regulated industries.
- Experience supporting international corporate structures and cross-border transactions.
- Commercially minded with the ability to provide practical, business-focused legal advice.

Additional Information
- Full-time, office-based position in Washington, DC.
- Five days per week in the office.
- Reporting directly to the Legal Officer.
- Competitive compensation package, with a salary of up to $180,000, depending on experience.
