Gaude Business and Infrastructure Solutions is looking for a Legal Contracts Manager / Counsel to take ownership of the agreements behind our technology and client relationships. We need someone who can read a contract from a business perspective as well as a legal one, someone who knows which terms deserve attention, which risks can be managed, and when an issue needs to be pushed further.
You'll work closely with leadership, sales, technology, and delivery teams on agreements involving enterprise software, AI solutions, consulting engagements, vendors, and business partnerships.
The Work
- Draft, review, and negotiate customer, vendor, consulting, licensing, confidentiality, and technology service agreements.
- Take contracts from initial review through negotiation, approval, signature, and proper recordkeeping.
- Review NDAs, MSAs, statements of work, amendments, data-processing terms, and other commercial documents.
- Work directly with business teams when contract language doesn't match the way a project will actually be delivered.
- Pay particular attention to intellectual property, confidentiality, data use, liability, indemnification, warranties, termination rights, and payment terms.
- Support agreements involving AI, software, cloud services, data processing, and technology implementation.
- Keep track of contractual commitments, renewal dates, notice periods, and other obligations that shouldn't be discovered at the last minute.
- Help management evaluate legal and commercial risk when unusual contract terms are requested.
- Coordinate with outside counsel when a matter requires specialized legal advice.
- Improve contract templates and processes as the company's customer and partner relationships grow.
What We're Looking For
- Juris Doctor (J.D.) and active U.S. bar membership for candidates serving in a counsel capacity.
- Experience handling commercial contracts, preferably within technology, software, AI, SaaS, consulting, or professional services.
- Strong contract drafting and negotiation skills.
- Working knowledge of intellectual property, privacy, data protection, and technology-related contractual issues.
- Able to explain a complicated contract issue in plain business language.
- Comfortable negotiating directly with customers, vendors, and their legal teams.
- Organized enough to manage several agreements at different stages without losing track of deadlines.
- Sound judgment and discretion when working with confidential business and customer information.
