Tax Partner – Corporate & Transactional Practice
VLP Law Group LLP is seeking an experienced tax partner to build and lead the firm’s tax capability in support of its active and growing corporate, M&A, EC/VC, and private investment practices. This is a unique opportunity for a senior tax attorney to serve as the firm’s dedicated tax partner and play a central, firm-wide role within a collaborative, partner-led platform.
The tax partner will work closely with attorneys across VLP’s corporate and transactional practice groups, advising on the tax aspects of sophisticated transactions. The role is ideal for a practitioner who thrives in a tightly integrated, deal-driven environment, working side-by-side with corporate and M&A partners to deliver coordinated, strategic advice. This is an equity partner position.
Key Responsibilities
- Advise clients on federal (and, as applicable, state and international) tax matters arising in M&A, financings, joint ventures, restructurings, liquidity events, and other complex transactions
- Provide tax structuring advice for venture capital and private equity deals, fund investments, capital-raising activities, and secondary sales
- Counsel start-ups and emerging growth companies on tax-efficient entity formation, capitalization, equity compensation, growth strategies, and planning through exit
- Advise family offices, angel investors, and high-net-worth individuals on investment structuring, portfolio transactions, and tax-efficient planning
- Collaborate seamlessly with corporate and transactional partners to deliver actionable, business-focused legal advice
Ideal Candidate Profile
- Seasoned tax attorney with a deep transactional tax background (prefer 15+ years at BigLaw or comparable high-caliber practice)
- Demonstrated experience advising on M&A, financings, private investments, and other complex deal structures
- Entrepreneurial mindset and interest in serving as the anchor tax partner inside a lean, sophisticated, and highly regarded law firm
- Proven ability to work effectively with corporate and transactional partners on complex matters
- Impeccable client-facing skills and comfort serving as a trusted senior advisor to discerning clients

Corporate Counsel (Senior Associate)
VLP has an immediate opening for a senior transactional Counsel attorney to support its corporate practice group. The candidate should have exceptional academic credentials, a top-tier law firm background and at least eight years of substantial experience representing private technology companies from formation to exit (including founder issuances, equity compensation and stock plans, convertible debt and VC financings and M&A), as well as the VC funds and other investors that finance such companies. Candidates must be able to work independently with limited supervision.
Annual Salary: $200,000.00 – $350,000.00. This range is based on multiple factors, including experience, location, practice area & a billable hour range of 1000-1400 billable hours per year.
