About the Role
Statusphere is seeking a Senior Commercial Counsel to serve as the company’s senior day-to-day legal advisor and lead its commercial contracting function.
This attorney will independently manage sophisticated commercial transactions, exercise judgment regarding legal and business risk, and provide clear, commercially grounded recommendations to the COO/CFO and other senior leaders. The role requires an experienced transactional attorney who can assess risk in the context of Statusphere’s contracts, customer relationships, products, revenue model, operating processes, and strategic objectives.
The Senior Commercial Counsel will work closely with the COO/CFO, Sales, Finance, Operations, Product, Security, and Customer Success to move transactions efficiently from commercial alignment through execution. This person must be able to distinguish acceptable commercial risk from material legal exposure, resolve most matters independently within established authority, and recommend a specific path forward rather than merely identifying issues or restating contract language.
The role will manage a meaningful monthly volume of client, agency, vendor, and corporate agreements, including enterprise SaaS and usage-based services agreements, MSAs, SOWs, order forms, NDAs, amendments, technology and vendor agreements, consulting agreements, data-processing agreements, and related documents.
The Senior Commercial Counsel will also provide practical guidance on privacy, data use, intellectual property, creator relationships, content and usage rights, website terms, payments, compliance, and other operational legal matters.
Specialized, novel, jurisdiction-specific, or high-risk matters—including significant corporate, employment, litigation, intellectual-property, privacy, regulatory, financing, or M&A matters—will continue to be handled in partnership with outside counsel. The Senior Corporate Counsel will help identify, frame, coordinate, and manage those matters rather than being expected to serve as the sole subject-matter expert in every legal discipline.
This is a highly visible role with the opportunity to build Statusphere’s in-house legal function and potentially advance into an Associate General Counsel position as the company grows in 2027 and beyond, including through new products, strategic partnerships, acquisitions, or additional lines of business.
The role reports to the COO/CFO.
What You’ll Do
- Own the drafting, review, negotiation, and execution of commercial agreements with clients, agencies, vendors, creators, consultants, and strategic partners.
- Independently negotiate MSAs, SOWs, order forms, SaaS and usage-based services agreements, NDAs, DPAs, amendments, vendor agreements, and other commercial contracts.
- Lead legal negotiations directly with client legal, procurement, privacy, security, finance, and business teams, moving agreements efficiently from initial review through signature.
- Evaluate legal and commercial risk and make practical recommendations based on contract value, customer relationship, transaction structure, operational capabilities, and business priorities.
- Advise on key contractual issues including liability, indemnification, warranties, intellectual property, content and data rights, confidentiality, privacy, security, payment terms, termination rights, and regulatory obligations.
- Partner closely with Sales and the COO/CFO to structure and close enterprise and strategic transactions, resolve deal blockers, and balance commercial objectives with appropriate legal protections.
- Provide business and executive stakeholders with clear, concise assessments of material contract risks, available alternatives, and recommended courses of action.
- Establish practical contracting guidelines, approval thresholds, fallback positions, and escalation procedures that enable independent decision-making while appropriately escalating higher-risk matters.
- Review and negotiate technology, SaaS, data, professional-services, consulting, marketing, fulfillment, and other vendor agreements.
- Maintain and advise on Statusphere’s creator, brand, and campaign contracting frameworks, including intellectual property, content usage rights, disclosures, platform requirements, and related compliance considerations.
- Provide practical guidance on privacy, data use, AI, security, customer and creator data, product workflows, payments, and other day-to-day legal matters affecting the business.
- Partner with Product, Security, Finance, Operations, Marketing, Customer Success, and Sales to ensure contractual requirements are operationally achievable and appropriately implemented.
- Build and maintain scalable contracting processes, including templates, clause libraries, negotiation playbooks, intake and approval workflows, contract storage, renewals, and obligation tracking.
- Engage and manage outside counsel when specialized expertise is required, translating external legal advice into practical recommendations for the business.
- Develop a deep understanding of Statusphere’s products, customers, creator ecosystem, revenue model, and operations and serve as a responsive, business-minded legal partner across the company.
What We’re Looking For
- 7–10 years of post-J.D. transactional legal experience at a leading law firm, established corporation, high-growth technology company, or a combination of these environments.
- Significant experience independently leading sophisticated commercial transactions from initial review through negotiation, approval, and execution.
- Demonstrated ability to exercise independent legal judgment and make commercially grounded risk recommendations without routine supervision.
- Strong experience negotiating B2B SaaS, technology, usage-based services, agency, data, consulting, vendor, MSA, SOW, NDA, and customized enterprise agreements.
- Experience working directly with senior executives, Sales, Finance, Product, Security, and operational teams.
- Ability to manage significant monthly contract volume while maintaining speed, responsiveness, accuracy, and sound judgment.
- Experience negotiating with sophisticated enterprise counterparties, including legal, procurement, privacy, security, finance, and external-counsel teams.
- Strong understanding of intellectual property, content and data rights, confidentiality, indemnification, limitation of liability, warranties, security, insurance, payment, termination, and dispute provisions.
- Working knowledge of U.S. privacy and data-protection requirements, including CCPA/CPRA, and familiarity with GDPR, data-processing agreements, and SaaS and marketing-technology privacy issues.
- Ability to translate legal issues into concise business guidance, including the nature of the risk, potential impact, available alternatives, and recommended action.
- Strong organizational and project-management skills, with the ability to prioritize competing matters in a fast-moving remote environment.
- A practical, low-ego, service-oriented approach combined with the confidence to make decisions, deliver difficult advice, and escalate appropriately.
- Interest in helping build a legal function and assuming broader responsibility as the company grows.
Education and Bar Admission
- Juris Doctor from an accredited law school.
- Active membership in good standing with at least one U.S. state bar.
Preferred Experience
- Prior in-house experience, secondment experience, or substantial direct client responsibility in a SaaS, marketing technology, advertising technology, digital media, creator-economy, or enterprise-technology business.
- Experience with agreements combining SaaS access, prepaid credits, usage-based services, creator incentives, processing fees, subscription elements, or other nontraditional technology and services pricing models.
- Experience building contract playbooks, approval matrices, delegations of authority, and scalable legal intake and escalation processes.
- Experience maintaining website terms, privacy notices, consent language, and practical privacy-compliance processes.
- Familiarity with contract-lifecycle management tools, e-signature platforms, structured intake workflows, contract repositories, and legal operations reporting.
- Experience coordinating and managing outside counsel.
Work Environment
This is a full-time, remote U.S. position. The role requires regular collaboration across time zones and occasional travel for company or team meetings. No special physical demands are required.

The salary range for this position is $200,000–$240,000. Compensation decisions are influenced by multiple factors, including but not limited to education, prior experience, training, skills, certifications, market demand, and internal equity.

Pay: $200,000.00 - $240,000.00 per year
