Job Title: Corporate Paralegal

About the Role:
We are seeking a highly organized and meticulous Corporate Paralegal to support our Business Transactions and Corporate Law practice groups. The ideal candidate will assist attorneys in all phases of corporate governance, transaction execution, entity formation, and regulatory compliance, bridging the gap between our attorneys and corporate clients.
Essential Duties and Responsibilities:
- Corporate Governance & Entity Management: Draft and maintain corporate documents including articles of incorporation, bylaws, operating agreements, stock certificates, board resolutions, and meeting minutes.
- Transactional Support: Assist with mergers, acquisitions, commercial loans, and other business transactions by organizing closing documents, preparing closing binders, and managing virtual data rooms.
- Compliance & Filings: Prepare and file necessary corporate filings and regulatory documentation with the California Secretary of State and other applicable agencies.
- Entity Maintenance: Maintain corporate records, statutory registers, and minute books ensuring ongoing compliance with state and federal regulations.
- Research & Drafting: Conduct legal and factual research, review commercial contracts, and draft routine correspondence under attorney supervision.
- Client & Team Liaison: Coordinate effectively between internal legal teams, accountants, external service providers, and high-net-worth clients.
Qualifications:
- Experience: Minimum 10 years of continuous experience as a Corporate Paralegal or Legal Assistant within a recognized law firm or in-house legal department.
- Education: Bachelor’s degree and/or an ABA-approved paralegal certificate.
- Technical Proficiency: Proficiency in Microsoft Office Suite, virtual data rooms, and entity management or case management software.
- Soft Skills: Exceptional written/verbal communication skills, outstanding attention to detail, and the ability to manage competing deadlines in a fast-paced environment
