The Role
This is a rare chance to step into a senior legal seat at a lean, high-velocity private capital firm where your work directly shapes how deals get structured, documented, and closed. As Senior Counsel, you won't be managing a legal department from a distance — you'll be at the table on every significant transaction, advising SCI's principals on securities compliance, contract strategy, and deal risk in real time. The position operates on a hybrid schedule with in-office presence required across our Atlanta, GA and Panama City, Panamá offices; candidates should be prepared for periodic international travel between both locations as business demands
Key Responsibilities
- Lead drafting, review, and negotiation of commercial contracts, term sheets, financing agreements, and investor documentation
- Serve as primary legal advisor on Reg D/Rule 506(b) private placements and securities compliance across all SCI investment vehicles
- Provide strategic counsel on deal structuring, due diligence, and risk mitigation for debt, equity, and alternative finance transactions
- Advise on corporate governance, LP/GP structures, and entity-level legal matters
- Build and maintain SCI's legal infrastructure — standardized templates, compliance protocols, and internal policies
- Coordinate with outside counsel, institutional counterparties, and capital partners
- Monitor federal and state securities regulations and keep leadership ahead of evolving risk
Qualifications
- J.D. from an accredited U.S. law school; active bar license in good standing (Georgia or any U.S. jurisdiction)
- 7+ years of experience in contracts and securities law— backgrounds from Top 25 national firms strongly preferred
- Finance fluency: undergraduate or graduate degree in finance, accounting, or economics, or equivalent deal-side experience
- Deep familiarity with SEC regulations, Reg D exemptions, state Blue Sky laws, and private placement mechanics
- Proven ability to move fast, think independently, and communicate complex legal positions clearly to non-legal stakeholders
- Comfort operating in a deal-driven environment where decisions happen quickly and your judgment carries real weight
