Position Overview
We are seeking a skilled Tax Attorney to support complex domestic and cross-border mergers, acquisitions, and other corporate transactions. The successful candidate will provide practical, business-focused tax advice to deal teams, lead tax diligence and structuring efforts, prepare tax opinions, and collaborate with clients and internal advisors to minimize tax risk and maximize after-tax value. This role is ideal for a lawyer with strong technical tax knowledge, transaction experience, and familiarity with CPA-led financial analysis and transaction advisory services.
Key Responsibilities-
Advise clients and deal teams on tax structuring for mergers, acquisitions, dispositions, reorganizations, and joint ventures to optimize tax outcomes and regulatory compliance.

Lead and coordinate tax due diligence, identify material tax risks and exposures, and draft diligence reports and recommendations for buyers and sellers.

Prepare and review tax memoranda, legal opinions, and negotiation positions on federal, state, and international tax issues related to transactions.

Collaborate with CPAs, valuation specialists, and transaction advisory teams to integrate tax and financial analyses into deal models and purchase agreements.

Work with cross-functional teams (legal, finance, accounting, and operations) to implement post-closing tax structuring and integration plans.

Manage communications with clients, tax authorities, and outside counsel on audit, filing, and reporting matters arising from transactions.

Provide practical guidance on tax provisions in transaction documents (e.g., purchase agreements, disclosure schedules, tax indemnities) and assist in negotiating tax-related deal terms.

Keep current on developments in tax law and regulation, evaluate impact on client transactions, and disseminate actionable updates to internal teams and clients.
Qualifications-
Juris Doctor (JD) from an accredited law school and admission to the bar in at least one U.S. jurisdiction.

5+ years of law firm or in-house experience focusing on transactional tax matters, including mergers and acquisitions and related structuring.

Demonstrated experience with tax due diligence, drafting tax opinions, and negotiating tax provisions in transaction documents.

Strong technical knowledge of federal, state, and international tax law and practical application to corporate transactions.

Familiarity working alongside CPAs and transaction advisory services teams; CPA credential or prior accounting experience is strongly preferred.

Experience advising on acquisitions, divestitures, and post-closing integration, including tax-efficient deal structures.

Excellent written and oral communication skills, with the ability to distill complex tax issues into clear, business-focused advice.

Strong project management skills, ability to manage multiple transactions simultaneously, and comfort working in fast-paced, client-facing environments.
