GENERAL SUMMARY
The Chief Financial Officer (CFO) provides strategic financial, operational, and governance leadership for USCB. This role is accountable for the integrity of the company’s financial performance, the strength of its capital structure and treasury position, the soundness of its internal controls and technology environment, and the long-term stewardship of the company’s ESOP as a cultural and competitive advantage.
The CFO partners with the CEO to shape enterprise strategy, guide capital allocation, and protect shareholder-employee value by, ensuring disciplined governance, accurate corporate records, and effective engagement with senior leadership and the Board of Directors. This role leads the Finance and ESOP Valuation financial functions, balancing financial rigor with the employee-ownership culture that defines USCB.
KEY RESPONSIBILITIES
- Uphold the integrity, timeliness, and insight of monthly, quarterly, and annual financial statements. Lead multi-branch P&L reporting, scenario modeling, and long-range forecasting to inform executive decision-making and capital allocation.
- Manage banking relationships, credit facilities, debt covenants, and cash forecasting. Optimize working capital, liquidity, and investment of excess funds; maintain signing authorities, banking controls, and treasury policies. Additionally, lead relationships with auditors, investors, and other financial partners.
- Partner with the CEO and executive team to translate strategic priorities into financial plans, investment cases, and measurable outcomes. Evaluate growth opportunities, pricing, M&A, capital projects, and operational initiatives through a disciplined ROI lens.
- Oversee Accounts Payable, Accounts Receivable, payroll, general ledger, and month-end close. Ensure GAAP compliance, applicable federal, state and local regulatory laws and rules for financial and tax reporting. Also, ensure audit readiness, strategy execution, and robust internal controls across all entities and branches.
- Prepare and present board materials related to corporate financial reports and financial strategies recommendations to the CEO, executive team, and Board of Directors.
- Provide strategic leadership for the company’s financial planning, budgeting, forecasting, and capital allocation to optimize capital structure, cash flow, and profitability.
- Oversee Financial Trust Account(s)
- Align with the company’s strategy, goals, and financial expectations.
- Develop and mentor the Finance leadership bench. Cultivate a culture of accountability, continuous improvement, and employee ownership that strengthens the organization at every level. Build and lead a high-performing finance team, fostering professional growth and accountability.
- Member of ESOP Committee and Benefits Committee to include responsibility of the 401(k) Trustee
- Lead ESOP plan administration, regulatory compliance, and coordination with the trustee, valuation firm, TPA, and ERISA counsel. Oversee repurchase obligation forecasting, annual valuation process, and plan sustainability.
- Collaborate with ESOP Committee, ESOP Trustees Third Party Administrators, and legal counsel to ensure compliance with plan rules and federal regulations.
- Monitor the financial impact of ESOP transactions, distributions, and repurchase obligations.
- Ensure compliance with IRS and Department of Labor (DOL) requirements related to S-Corporation and ESOP operations.
- Stay current with industry trends, economic conditions, and regulatory changes that may impact the business.
- Adheres to and promotes all company policies, practices, standards of conduct, and ethics.
EDUCATION, EXPERIENCE AND LICENSING REQUIREMENTS
Experience with or proficiency in:
- CPA designation required; Bachelor’s degree in Accounting, Finance, or related field. MBA or advanced accounting degree preferred
- 10+ years of progressive financial leadership, including 5+ years in a senior executive role
- ESOP-owned company experience strongly preferred, including repurchase obligation and valuation processes
- Advanced financial modeling, multi-year forecasting, and scenario analysis in Excel
- ERP platforms (Microsoft Business Central or equivalent), consolidations, and FP&A tools
- Treasury management systems, banking platforms, and debt covenant administration
- California corporate governance, ERISA, and SEC/DOL reporting requirements applicable to ESOP companies
