A Brief Overview
The Corporate Counsel is a generalist role for an attorney with 3-7 years of legal experience, in-house or with a law firm, and strong commercial contract experience. The position reports to the Associate General Counsel, ASICS North America ("ANA"), and is based in Boston, Massachusetts. Contracting is the core of the role, with a focus on reviewing, negotiating, and drafting a variety of commercial, sales, eCommerce, technology, vendor, procurement, and marketing agreements. The Corporate Counsel, Commercial & Retail is the primary legal contact for assigned contracts, wholesale and key accounts, sales and retail operations, loss prevention, customer service, corporate governance, the contract management system, and collaboration with the IP Legal team. The work spans ANA, with regular collaboration across teams globally. The ideal candidate brings excellent judgment and drafting skills, strong commercial contracting experience, and a genuine willingness to grow into new areas of legal practice.

What You'll Do
- Negotiate and draft a broad range of contracts, as allocated across the ANA Legal team, including commercial, sales, eCommerce, technology and software, vendor, procurement, professional services, logistics, and marketing agreements, and their associated data privacy and artificial intelligence provisions.
- Serve as a primary legal contact for assigned business units, including wholesale and key accounts, sales terms and channels, account onboarding and termination, apparel, pricing structures in wholesale, returns, invoicing, credit process, disputes with accounts, and enforcement mechanisms
- Advise on retail and sales operations, including pricing, signage, and disclosure requirements, loss prevention, and customer service.
- Provide legal support to the Associate General Counsel and other ASICS Legal and business team members on corporate governance, IP matters, changes in the legal environment of areas of responsibility, and training for business teams.
- Serve as the primary contact for the contract management system.
- Develop templates, playbooks, and training for assigned areas, making effective and responsible use of AI and legal technology.
- Support ASICS Canada, ASICS Mexico, ASICS Creation Center, and ASICS Institute of Sport Science America on contracting, governance, and assigned matters.
- Provide proactive, practical advice on day-to-day legal needs.
- Work across time zones with teams in Irvine, Boston, Canada, Mexico, and globally.

How You'll Be Successful
- Communicates with clarity and professionalism, articulating legal concepts to non-legal stakeholders and distilling complex analysis into concise, actionable guidance.
- Strong analytical skills to assess complex legal issues and interpret laws and regulations, with the ability to weigh risks, present options along a risk spectrum, make a clear recommendation, and escalate promptly when appropriate.

- Prioritizes based on business goals and impact, manages concurrent matters so nothing is missed, and re-prioritizes as needs change.
- Learns unfamiliar areas of law quickly enough to advise the business, knows when a question belongs with outside counsel, and shares learnings with colleagues.
- Commercially curious about the products and customers, and about how the business competes, grows, and drives revenue. Identify what the business is trying to accomplish and solve for that result, offering a practical alternative where the request cannot be met as presented.
- Proactively builds trust so Legal is engaged early, collaborates effectively across functions with competing priorities, and works independently with minimal supervision.
- Improves how legal work is delivered through process, template, or technology change, applying AI-enabled tools with appropriate regard for confidentiality and governance.
- Works effectively with a global parent organization, balancing regional and global priorities.
- Maintains confidentiality in all matters and protects privilege in an environment where Legal and the business work closely together.
- Occasional domestic and international travel
What You'll Need
- Juris Doctorate from an accredited law school required
- 3-7 years of legal experience in-house or with a law firm required
- Experience in the consumer goods or technology industry preferred
- Current member of the Massachusetts Bar in good standing, or another state bar with eligibility for Massachusetts in-house counsel program registration required
- Proficiency with Microsoft 365, contract management systems (Agiloft), online legal research (Westlaw/Practical Law), and AI tools (Claude, Spellbook, CoCounsel)
SALARY / PAY RANGE: $144,000-$160,000
