Corporate Governance Attorney (Hybrid / In-House Contract)
If you’re a Corporate Governance Attorney with at least 3 years of relevant experience looking for a meaningful in-house opportunity, Latitude is seeking a junior securities and corporate attorney to support securities matters, manage domestic and foreign subsidiaries and handle general corporate governance for a public company. You will assist with all corporate governance matters, including preparing and reviewing Board of Directors and committee meeting materials and minutes; will draft and review resolutions, meeting minutes, and other corporate documents, ensuring they meet legal and governance standards; and will assist with subsidiary management, SEC compliance, and will provide strategic and legal counsel to ensure compliance with applicable laws, regulations, and internal policies related to corporate law and governance. This is a hybrid contract position in Minneapolis, with potential to become a permanent position.
Basic Requirements for the Corporate Governance Attorney:

3+ years of experience as a corporate attorney, including managing entities, and providing general corporate and securities support for a public company

Experience handling SEC filings including Section 16 and proxy/periodic reports and board governance support

Strong attention to detail and the ability to operate effectively in a fast-paced corporate environment

Excellent time management and organizational skills with the ability to work independently, prioritize, and multi-task

Excellent academic credentials from an ABA-accredited law school

Excellent analytical, written, verbal, and interpersonal skills

Licensed to practice law in at least one U.S. jurisdiction (or eligible for in-house exemption in MN)

Compensation:

Pay: The annualized pay for this position ranges from $150,000 to $185,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).

Benefits: In addition to pay, all Latitude Attorneys and other legal professionals working on contract engagements receive complimentary professional liability insurance coverage. All Latitude employees (including those on contract engagements) are also eligible for full benefits when working 20+ hours per week, including group medical, dental, and vision insurance, and complimentary group life, LTD and AD&D insurance. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
