Corporate / M&A Attorney (Hybrid)

A respected and growing law firm is seeking a Corporate / M&A Attorney with at least two years of experience in corporate law, mergers and acquisitions, and securities matters to join its thriving transactional practice. This position offers substantial client interaction, hands-on deal experience, and the opportunity to work with clients across a diverse range of industries.
Responsibilities

Draft, review, and negotiate a variety of transaction documents, including purchase agreements, operating agreements, and investment documents.

Conduct due diligence and provide support to buyers and sellers throughout all phases of M&A transactions.

Advise clients on corporate governance matters and general business operations.

Assist with private securities offerings and ensure compliance with applicable federal and state securities laws.

Collaborate directly with clients, boards of directors, opposing counsel, and other stakeholders to facilitate successful transactions.

Manage multiple matters in a fast-paced and dynamic environment.
Qualifications

Juris Doctor (JD) from an accredited law school.

Licensed and in good standing with the applicable state bar.

Minimum of 2 years of experience in corporate law, mergers and acquisitions, and/or securities matters.

Strong drafting, negotiation, and analytical skills.

Ability to manage client relationships and work independently on complex transactions.

Excellent communication and organizational abilities.
