Midwest CPA is seeking a Transaction Advisory Manager to lead financial due diligence engagements for business owners, private equity groups, and investors navigating an acquisition or sale. In this role, you'll oversee quality of earnings analysis, identify financial risks and trends, and advise clients on deal structuring and regulatory considerations that affect transaction value. Your work will shape the outcome of high-stakes deals, giving clients and internal teams the clarity they need to move forward with confidence.
Responsibilities
- Lead financial due diligence engagements for M&A transactions from kickoff through final deliverable
- Prepare quality of earnings (QOE) and net working capital analyses for both buy-side and sell-side deals
- Review financial statements and supporting documentation to identify key trends, risks, and EBITDA adjustments
- Present findings and recommendations clearly to clients, deal teams, and capital partners
- Partner with clients to understand their objectives and advise on ways to reduce risk and support a favorable outcome
- Manage multiple engagements concurrently while meeting deadlines
- Review the work of junior staff and provide guidance and mentorship as needed
- Stay current on GAAP and emerging developments in the transaction advisory field
Skills
- 5+ years of experience in financial due diligence, quality of earnings, or M&A advisory work
- Strong working knowledge of U.S. GAAP, accrual accounting, and common EBITDA adjustments
- Advanced proficiency in Excel and PowerPoint, including financial modeling
- Excellent verbal and written communication skills, with the ability to convey complex financial concepts to non-accountants
- Strong analytical skills, with the ability to identify trends and potential risks in financial data
- Proven ability to manage multiple engagements and deadlines simultaneously
- High attention to detail, integrity, and a strong client service orientation
- Demonstrated ability to lead engagements and manage remote teams effectively

Compensation:
- $140,000–$230,000 OTE (base pay plus incentive pay tied to performance)
