Job Overview
We are looking for a Senior Corporate Paralegal with 6-10+ years of experience to join a small, high-trust boutique law firm at the intersection of law and finance. This is a high-autonomy role supporting the corporate team on venture, emerging company transactions, M&A, and entity management — you'll own workflows end-to-end and hit the ground running with minimal supervision.
What will you be doing?
- Owning corporate filings, entity management, and governance workflows across multiple client entities
- Coordinating and managing closings for venture financings (SAFEs, convertible notes, priced rounds) including signature packages and cap table maintenance
- Designing and improving internal processes, closing checklists, and precedent libraries
- Serving as a trusted coordination point between attorneys, clients, and counterparties
- Eventually expanding to support funds and debt closings as the role grows
Key Requirements
- 6+ years of corporate paralegal experience at a law firm or sophisticated legal environment (not someone who is "super green")
- Hands-on experience with venture/emerging company transactions — SAFEs, priced rounds, cap tables, and equity documentation
- Ability to work independently with high autonomy and minimal instruction — scrappy and entrepreneurial mindset
- Strong corporate governance skills including entity formation, maintenance, and filings
- Comfortable managing multiple matters simultaneously in a fast-paced, lean team environment

Work experience
Law firm corporate paralegal experience with venture transactions (SAFEs, priced rounds, cap tables)
Hands-on closing coordination experience — managing signature packages, data rooms, and multi-party logistics independently
Experience at a sophisticated law firm or financial institution (not purely in-house or admin/clerical paralegal work)
Experience supporting corporate governance, entity formation/maintenance, and minute books
Education
Paralegal certificate or equivalent credential

Based in or near NYC; able to come into Grand Central office 1-2 days/week
Comfortable with ~1,000 billable hour target at a small boutique firm (not high-volume BigLaw pace)
Pay: $120,000.00 - $160,000.00 per year
