About the Opportunity
Our client, a nationally recognized law firm, is seeking a Mid-Level Corporate Associate with 4-6 years of experience to join its San Francisco office.
This opportunity is ideal for an attorney who enjoys managing sophisticated transactions while serving as a trusted advisor to architecture, engineering, and design (A/E/D) firms. The practice advises professional services organizations on mergers and acquisitions, ownership transitions, corporate governance, commercial contracting, and strategic business matters. The team values entrepreneurial attorneys who can take ownership of transactions, build strong client relationships, and provide practical, business-oriented legal counsel.
What You'll Do

Lead and support mergers, acquisitions, and other strategic business transactions from initial structuring through closing and post-closing integration.

Advise architecture, engineering, and design firms on ownership transitions, succession planning, partner admissions and departures, and related governance matters.

Conduct and oversee due diligence reviews, identify transaction risks, and develop practical solutions to address legal and business issues.

Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, employment agreements, and other transactional documents.

Counsel clients on corporate governance, entity formations, restructurings, financings, compliance matters, and day-to-day business operations.

Serve as a trusted advisor by providing practical legal guidance that aligns with clients' commercial objectives and risk tolerance.

Coordinate with accountants, lenders, valuation professionals, consultants, and other advisors throughout the transaction process.

Manage transaction closings, post-closing obligations, corporate filings, and integration activities.

Supervise and mentor junior attorneys and legal professionals while helping ensure efficient matter management and exceptional client service.

Support business development initiatives and contribute to the growth of client relationships within the A/E/D industry.
What We're Looking For

Juris Doctor (JD) from an accredited law school.

Active membership in the California Bar.

4-6 years of corporate law experience with substantial exposure to mergers and acquisitions, business transactions, and commercial contracting.

Demonstrated experience representing architecture, engineering, design, or related professional services firms on corporate and transactional matters.

Proven experience managing significant portions of transactions, including due diligence, drafting and negotiating transaction documents, and coordinating deals through closing.

Strong understanding of ownership structures, succession planning, governance, and operational issues common to professional services organizations.

Excellent drafting, negotiation, analytical, and client counseling skills.

Ability to independently manage multiple matters while collaborating effectively with clients and multidisciplinary teams.

Strong oral and written communication skills with exceptional attention to detail.

Experience supervising junior team members or managing deal teams preferred.

Prior large law firm or sophisticated corporate practice experience preferred.

Commitment to delivering practical, commercial legal advice and building long-term client relationships.
