Position Summary
VFC Group is seeking an In-House Counsel to serve as the company’s primary attorney for contract review and negotiation across its family of companies (VFC Lightning Protection, Taylor Lightning Protection, The VFC Group, and Lyncole). This role is the first dedicated legal hire for the organization and will own the full contract lifecycle, drive legal and licensing compliance across all states of operation, and serve as the company’s point of coordination with outside counsel on litigation, mediation, and arbitration matters. This is not a litigation-heavy role — VFC Group is seeking a generalist in-house attorney with strong contracts and compliance experience, not an expensive trial litigator.
This position is based on-site at VFC Group’s headquarters in North Salt Lake, Utah, and reports directly to the Chief Operating Officer.
Key Responsibilities

Contract Review & Negotiation
-
Review, draft, and negotiate subcontractor agreements, purchase orders, master service agreements, vendor contracts, and other construction-related contracts across all VFC Group entities.

Identify and flag high-risk clauses (indemnification, liquidated damages, insurance requirements, payment terms, scope) and propose redline language.

Advise project executives and estimators on contract risk during the bid and pre-construction phase.

Maintain standardized contract templates and playbooks to speed up routine reviews.

Procore & Contract Data Administration

Enter and maintain executed contract data, key terms, and milestones in Procore for accurate project and financial tracking.

Coordinate with project management and accounting teams to ensure contract terms are reflected correctly in Procore and NetSuite.

Track contract renewal dates, expirations, and compliance obligations.

Corporate Policy & Legal Compliance

Draft, review, and update company policies, employee handbooks, and internal procedures for compliance with applicable federal, state, and local law.

Monitor and advise on changing legal and regulatory requirements affecting VFC Group’s operations in every state where the company does business.

Partner with HR on employment policy compliance, including union and non-union workforce considerations.

Licensing & Regulatory Compliance

Track and maintain contractor licensing requirements across all states of operation, including new-state entry requirements.

Coordinate license applications, renewals, and qualifying-party requirements with state licensing boards.

Advise leadership on regulatory changes affecting electrical contracting and lightning protection licensure.

Outside Counsel Coordination

Serve as the primary internal point of contact for outside counsel engaged on litigation, mediation, or arbitration matters.

Manage case status updates, document requests, and budget oversight for matters referred to outside counsel.

Perform initial issue-spotting and triage on disputes to determine whether outside counsel engagement is warranted.
Qualifications
Required:
-
J.D. from an accredited law school and active license to practice law in Utah (or eligibility for reciprocity/admission).

3–7 years of relevant experience in construction law, corporate/transactional law, or contracts counsel roles; in-house experience strongly preferred.

Demonstrated experience drafting and negotiating construction subcontracts, vendor agreements, and commercial contracts.

Working knowledge of contractor licensing requirements and multi-state regulatory compliance.

Strong written and verbal communication skills; ability to translate legal risk into plain-language guidance for operational leaders.
Preferred:

Prior experience in electrical contracting, specialty trade contracting, or the broader construction industry.

Familiarity with Procore, NetSuite, or similar project management/ERP platforms.

Experience with union and non-union labor relations and related compliance matters.

Working knowledge of mediation and arbitration processes as they relate to construction disputes.
What This Role Is NOT
This position is designed as a generalist, in-house contracts and compliance counsel role — not a senior litigator or general counsel position. Active litigation, mediation, and arbitration matters will continue to be handled by outside counsel, with this role serving as the internal coordinator and liaison rather than lead trial counsel.
Compensation & Benefits
Target base salary: $120,000 – $165,000, commensurate with experience.
