A respected AmLaw 100 firm is seeking a Securities & Capital Markets Associate Attorney to join its Miami office. This opportunity is ideal for an attorney looking to work on sophisticated capital markets and corporate securities matters within a nationally recognized transactional platform serving public and private companies, investment banks, sponsors, and financial institutions.
The firm is seeking a motivated associate with strong securities and capital markets experience who is interested in handling complex domestic and cross-border transactions across a broad range of industries.
Associates in this position may work on matters involving:
- Public and private securities offerings
- IPOs and follow-on offerings
- SEC reporting and compliance matters
- Corporate governance and disclosure obligations
- Debt and equity capital markets transactions
- Private placements and Rule 144A offerings
- Exchange Act and Securities Act compliance
- General corporate and transactional matters for public and private companies
Attorneys will work closely with sophisticated issuers, underwriters, sponsors, and corporate clients on high-value and strategically significant transactions.
- 4–6 years of corporate securities and capital markets experience
- Experience handling sophisticated debt and equity transactions
- SEC reporting and compliance experience preferred
- Strong drafting, negotiation, analytical, and problem-solving skills
- Ability to manage multiple transactions in a fast-paced environment
- Strong interpersonal and client relationship skills
- JD from an ABA-accredited law school with strong academic credentials
- Florida Bar admission preferred or ability to waive in
- Sophisticated national securities and capital markets platform
- Exposure to high-value domestic and cross-border transactions
- Significant client-facing responsibility and hands-on deal experience
- Collaborative and entrepreneurial team environment
- Strong long-term growth potential within an expanding Miami platform
Compensation: $260,000–$385,000 DOE
