Full Job Description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Counsel, Commercial & Contracts.
Overview: MLA is seeking an Interim Counsel, Commercial & Contracts to serve as a key legal business partner supporting global commercial (sales and marketing) and manufacturing/supply chain operations, with responsibility for managing the end-to-end lifecycle of customer, vendor, and strategic partnership agreements. The attorney will draft, review, and negotiate a broad range of global commercial agreements, including customer and supply agreements, distributor arrangements, MSAs/SOWs, and confidentiality, licensing, and strategic partnership agreements. The position requires strong collaboration and communication skills, including providing regular status updates and clearly briefing senior executives on progress, key risks, and recommended next steps.

Company: Global manufacturer and marketer of food and animal safety solutions

Experience: 10+ years of experience managing commercial contracts within the life sciences or highly regulated industries

Location: Remote (East Coast and Midwest time zones only)

Responsibilities Include:

Draft, review, and negotiate a broad range of global commercial agreements, including:
- Customer and supply agreements
- Distributor and channel partner agreements
- Master service agreements (MSAs) and statements of work (SOWs)
- Material Transfer Agreement (MTAs): transfer of tangible research materials between parties—typically biological samples, chemicals, compounds, or proprietary materials
- Confidentiality, licensing, and strategic partnership agreements
Develop and maintain contract templates, playbooks, and fallback positions to streamline deal execution
Lead negotiations with customers, vendors, and partners, ensuring alignment with company standards and risk tolerance; and collaborate with Finance on financial exposure
Partner cross-functionally with the Business Units, Commercial, Finance, Operations, and Regulatory to enable aligned decision-making and provide business-oriented legal guidance to balance growth objectives with risk mitigation
Oversee and continuously improve the global contract lifecycle management process, including intake, approval, execution, and storage
Partner with stakeholders to ensure adherence to contract approval policies, delegation of authority, governance, applicable laws, regulations and internal policies across global markets
Drive consistency across regions while appropriately incorporating local legal requirements
Provide training to commercial teams to improve contracting discipline and reduce cycle times
Partner with regional counsel or external advisors on jurisdiction-specific risks and requirements

Qualifications Include:

Juris Doctor (JD) from an accredited law school with admission to practice law in at least one US state
10+ years of experience in commercial law, contracts, or corporate legal roles in the life sciences industry managing regulatory issues; law firm and in-house experience preferred
Demonstrated experience supporting global commercial operations and complex contract negotiations
Global mindset with experience working in a matrixed, cross-functional, and international environment
Able to operate independently, issue-spot, and be resourceful
Ability to manage multiple priorities in a fast-paced environment
Strong organizational skills and attention to detail
