Primary Purpose of the Job
Supports the General Counsel by administering and reviewing contracts, developing and maintaining contract review processes and procedures, assisting with legal review and documentation, and providing litigation, regulatory, and compliance support. Promotes effective legal operations by mitigating organizational risk, improving consistency and efficiency, and ensuring contracts and legal documentation are managed accurately throughout their lifecycle.
Supervisory Responsibility
Does not directly supervise team members.
Essential Duties

Independently review, analyze, and evaluate customer, vendor, and other commercial agreements to identify legal, regulatory, operational, financial, and business risks.

Exercise independent judgment in determining whether contract terms are consistent with company standards, approved positions, and acceptable levels of risk, and escalate to General Counsel or business leadership when appropriate.

Identify and recommend contract revisions, alternative language, risk-mitigation measures, and appropriate courses of action to address risk mitigation and support business objectives.

Apply contract review guidelines, policies, and legal principles to agreements involving varied facts, business arrangements, and risk considerations.

Communicate and coordinate with internal stakeholders regarding contract requirements, identified risks, proposed revisions, approval needs, and negotiation strategy to facilitate informed business decisions and timely contract execution.

Participate in contract negotiations when applicable and resolve routine contractual issues within the scope of delegated authority.

Manage assigned contracts throughout the contract lifecycle, to ensure timely and proper intake, review, approval, execution, renewal, amendment, expiration, and termination.

Develop, implement, and maintain contract review processes, procedures, templates, playbooks, clause guidance, approval workflows, and related resources.

Evaluate existing contract processes, and recommend and implement improvements to improve efficiency, consistency, risk management, and accountability.

Provide corporate governance, litigation, regulatory, and compliance support, including document review, information gathering, legal research, and other duties as assigned.

Achieve established individual goals and performance expectations by effectively managing assigned legal matters, priorities, and deadlines, while providing regular updates to the General Counsel on work progress, issues, and accomplishments.

Manage special legal and compliance projects involving multiple stakeholders, competing considerations, and independently developed recommendations.

Stay informed of current organizational policies, procedures, and industry standards.

Required Skills

Working knowledge of contract terminology and administration, and basic legal review principles.

Proficiency with Microsoft Office applications and ability to learn contract management, document management, and legal research systems.
Required Education and Experience
-
Associate's or bachelor's degree in paralegal studies, legal studies, business, or a related field.

Paralegal certificate from an accredited or recognized paralegal program, unless the degree is specifically in paralegal studies.
- Five or more years of experience in contract administration, a corporate legal department, law firm, compliance function, or similar environment preferred.

Experience reviewing commercial agreements and maintaining contract records, trackers, or repositories preferred.

Experience in a regulated industry or with litigation support is preferred.

Equivalent combinations of education, certification, and relevant experience may be considered.
