Primary Responsibilities:

Manage corporate governance and board activities, including agendas, meeting materials, minutes, resolutions, and board portal administration.
Maintain domestic and international subsidiaries, including entity management, compliance filings, formations, dissolutions, and corporate records.
Support SEC and NYSE compliance, including Section 16 filings, proxy statements, annual meetings, and periodic reporting.
Coordinate board and committee logistics and partner with executive leadership on governance matters.
Assist with M&A, capital markets, treasury transactions, due diligence, and corporate documentation.
Maintain governance records, insider trading compliance, and legal administration functions.

Experience:

6+ years of corporate paralegal or legal assistant experience in a public company or law firm environment.
Strong background in corporate governance, corporate secretary matters, SEC reporting (10-K, 10-Q, 8-K), proxy statements, annual meetings, and Section 16 compliance.
Experience supporting M&A, capital markets, treasury transactions, and related due diligence.
Proven ability to work with boards of directors, executive leadership, and cross-functional stakeholders.
Experience managing global subsidiaries and entity management systems (Diligent preferred).
Familiarity with board portal platforms and public company governance processes.
