Location: Remote position for attorneys located within approximately 75–100 miles of Atlanta, Georgia, allowing convenient access for occasional in-person meetings as needed.

Note: Applicants must be licensed to practice law in Georgia and have 7+ years of corporate transactional experience, including substantial hands-on mergers and acquisitions (M&A) work.

Job Description

Lead and manage mergers, acquisitions, and other sophisticated corporate transactions from start to finish.
Draft, review, and negotiate purchase agreements, operating agreements, commercial contracts, employment agreements, leases, and related transactional documents.
Advise clients on corporate governance, business strategy, risk management, and regulatory compliance.
Structure complex business transactions and provide practical legal guidance throughout each stage of the deal.
Conduct legal research and provide strategic recommendations on corporate and commercial matters.
Collaborate directly with clients and serve as a trusted legal advisor throughout ongoing business operations.
Support related business and transactional matters for healthcare professionals and privately held companies.

Qualifications

Active Georgia Bar license.
7+ years of corporate transactional legal experience.
Significant hands-on M&A transaction experience.
Strong background drafting and negotiating complex business agreements.
Excellent negotiation, analytical, and legal writing skills.
Ability to independently manage sophisticated client matters.
Healthcare industry experience is a plus but not required.
Strong communication and client relationship skills.
