The hiring range for this opportunity is $39.00 to $47.00 hourly along with incentive opportunities, creating a competitive total compensation package based on our pay scale, and may be modified by location and is commensurate with qualifications and experience.
Senior Documentation Specialist - Outside Counsel Liaison
Position Summary
Serves as a point of contact for outside counsel, facilitating the exchange of information, questions, and responses between counsel and internal stakeholders. Provides guidance and advice as the subject matter expert on all aspects of loan documentation.
Essential Duties
- Prepares documentation and provides final review of mid-to-large complex loans, analyzes and advises Documenters, Lenders, Credit, and Special Assets on modification to structure loan as needed to mitigate Bank risk/loss.
- Maintains compliance by performance of final review of the Bank’s commercial loans to ensure applicable statutes and regulations related to the commercial lending function and adherence to Bank policies and standards.
- Works with outside counsel on all out-of-state transactions and any loan outsourced to external counsel due to dollar amount and or complexity. Partners with other departments to ensure facilitation of loan file from engagement to boarding.
- Creates and updates commercial lending forms, policies, manuals and procedures. Serves as a partner of the compliance team and works on loan compliance issues relating to lending policy and procedures as well as the Legal Department for any guidance needed.
- Perform comprehensive review of loan documents to ensure compliance with bank standards, the approved Credit Memo, and prescribed legal language. Audit documents for accuracy. Check lender instructions and ensure all required endorsements and standard provisions are included in loan documents prepared by outside counsel.
- Engage and clear conflict checks with counsel, prepare documents according to bank policy, convert to legal edit and send to counsel for review and input. Review additions and make changes to docs via legal edit through Laser Pro (D&H). Provide support and act as a resource for complex matters for documentation team, credit, CLSO and lenders.
- Track progress of pending outside counsel deals. Identify bottlenecks and follow up on outstanding items. Conduct in-depth reviews of entity documentation, ensuring consistency and addressing discrepancies with counsel. Coordinate and schedule regular calls with the loan team, borrower, borrower’s counsel, and outside counsel; prepare call agendas and record actions.
- Identifies risks and makes recommendations based on specific loan transactions and requirements. Analyzes proposed loans, and modifies loan structures and requested documentation to mitigate Bank risk and loss. Ensures proper loan and collateral documentation by staying abreast of and interpreting various laws, compliance regulations, policies and procedures.
Education
- High school diploma or equivalent, required. Bachelor's degree in a related field, preferred.
- Paralegal certification, preferred.
Skills and Knowledge
- 7 years of commercial loan documentation experience or equivalent. Experience with Laser Pro preferred. Comprehensive knowledge in all aspects of loan processing and documenting commercial, construction and other various products
- Excellent customer service and organizational skills and the ability to work in a fast-paced environment.
- Exceptional verbal, written and interpersonal communication skills with the ability to apply common sense to carry out instructions and instruct others, train personnel, write reports, correspondence, and procedures, speak clearly to customers and employees.
