A well-established, boutique law firm in Dayton, Ohio, is seeking an experienced Corporate Paralegal to join its Corporate Department. This is a role for someone who wants substantive deal work, not routine form-filling, and who supports attorneys representing everything from startups and family businesses to companies with deal values in the hundreds of millions.

Who you'll work with
You'll support a corporate team with genuine range — mergers and acquisitions, entity formation and governance, commercial real estate, financing and capitalization, contract drafting and negotiation, and general business counsel work for both for-profit and not-for-profit clients. The team's matters span company sizes and industries, from sub-$1M family business transitions to complex M&A deals worth well over $100 million, so no two weeks look alike.
What you'll do
- Draft and manage entity formation, governance, and maintenance documents (operating agreements, bylaws, resolutions, board and shareholder minutes)
- Support M&A transactions: due diligence coordination, closing checklists, disclosure schedules, and closing binders across deals of widely varying size and complexity
- Prepare and file state and federal filings (Secretary of State filings, UCC filings, franchise/annual reports)
- Manage cap tables, stock/membership interest records, and corporate minute books across multiple client entities
- Assist with commercial real estate purchase, leasing, and subleasing matters
- Coordinate multi-party transactions, tracking signature pages, conditions to closing, and post-closing deliverables
- Liaise directly with clients' in-house counsel, finance teams, and business leadership, not just attorneys
How this differs from a typical paralegal role
Corporate paralegal work is transactional and governance-focused rather than litigation-focused. You won't be prepping for depositions or trial exhibits. Instead, the pace is deal-driven: closings, filing deadlines, and diligence timelines set the rhythm. You'll work across multiple client entities and deal sizes at once, often directly with business owners and executives rather than solely through the attorney, which means discretion and polish matter as much as legal knowledge. It's less about procedural rules and more about precision, organization, and understanding how a business, not just a case, actually operates.
What we're looking for
- 3+ years of experience as a corporate/transactional paralegal, in a law firm or in-house legal department
- Demonstrated experience with entity formation and governance documentation (operating agreements, bylaws, resolutions, minutes)
- Working knowledge of UCC filings, Secretary of State filings, and general corporate compliance requirements
- Experience supporting M&A or other transactional closings, including due diligence coordination and closing binder preparation
- Strong proficiency with Microsoft Office (Word, Excel, Outlook); comfort learning document management and corporate minute book software
- Excellent written communication skills, with close attention to detail and accuracy under deadline pressure
- Ability to manage multiple active client matters and competing deadlines simultaneously
- High degree of discretion and professionalism — this role involves direct contact with clients' executives, in-house counsel, and finance teams
What Would Make You An Exceptional Candidate
- Paralegal certificate from an ABA-approved program, or a bachelor's degree with equivalent transactional experience
- Notary Public commission (or willingness to obtain)
- Experience with cap table management or stock/membership interest recordkeeping
- Exposure to commercial real estate transactions (purchase, sale, leasing)
- Prior experience in a firm serving closely-held businesses, private equity-backed companies, or nonprofit organizations
