Senior Securities Attorney (8+ Years' Experience)

Miami, Florida

$260,000 – $340,000 DOE + Performance Bonus

An exceptional opportunity has arisen for a Senior Securities Attorney to join a highly respected corporate practice with a strong reputation for advising sophisticated domestic and international clients on complex securities transactions, private investment structures, and strategic corporate matters.

This position is ideally suited to an experienced attorney seeking to play a leading role within an established Corporate, Securities & Mergers & Acquisitions practice. The successful candidate will work closely with private equity sponsors, investment funds, institutional investors, family offices, entrepreneurs, and privately held businesses on a broad range of high-value transactional matters.

The Role

You will advise clients on complex corporate and securities transactions while acting as lead counsel on sophisticated private investment structures and strategic business ventures.

Key responsibilities include:

Leading private securities offerings, including Regulation D and Rule 506(b) private placements.
Advising sponsors and investors on the formation, structuring, and operation of private investment funds.
Drafting and negotiating private placement memoranda, subscription agreements, operating agreements, partnership agreements, and related offering documentation.
Structuring and negotiating complex joint venture arrangements across multiple industries.
Advising clients on securities law compliance and corporate governance matters.
Supporting mergers, acquisitions, recapitalisations, and other strategic corporate transactions where securities issues arise.
Working directly with business owners, investors, executives, and in-house legal teams to deliver commercially focused legal advice.
Managing transactions from initial structuring through closing while coordinating multidisciplinary legal teams where appropriate.

About You

The successful candidate will possess:

8+ years' experience in Corporate and Securities Law.
Significant experience advising on private securities offerings, private investment funds, and joint venture transactions.
Extensive knowledge of Regulation D, including Rule 506(b) offerings.
Proven experience acting as lead counsel on sophisticated transactional matters.
Strong drafting and negotiation skills across complex corporate documentation.
Excellent commercial judgement and strategic problem-solving abilities.
Outstanding organisational and project management skills.
Strong academic credentials.
Exceptional client relationship and communication skills with the ability to build trusted adviser relationships.
