Commercial Paralegal

Overview

A Commercial Paralegal provides essential legal and administrative support to attorneys engaged in commercial real estate and commercial transactional matters. This role requires strong organizational capability, transactional awareness, and the ability to collaborate effectively with clients, lenders, title companies, and internal legal teams. Depending on experience level, the Commercial Paralegal may support, manage, or independently oversee complex transactions from contract through closing and post‑closing.

Key Responsibilities

1. Transaction Support & Coordination

Assist attorneys with all aspects of commercial real estate transactions, including acquisitions, dispositions, financing, leasing, and development.
Coordinate communication among clients, lenders, title companies, surveyors, real estate agents, and opposing counsel.
Track critical dates, maintain workflow schedules, and ensure timely completion of all transaction requirements.
Maintain organized transaction files and ensure documents are easily accessible and properly stored.

2. Document Preparation & Review

Draft and revise commercial real estate documentation such as purchase and sale agreements, leases, loan documents, easements, and closing documents.
Prepare closing checklists, correspondence, and closing binders.
Review title commitments, surveys, zoning reports, and due diligence materials to identify potential issues and propose resolutions.

3. Title, Survey & Due Diligence

Review and analyze title reports, legal descriptions, survey matters, zoning documentation, and lender requirements.
Conduct UCC searches and filings.
Assist in clearing liens, encroachments, easements, and other curative title matters commensurate with experience level.

4. Closing Process Management

Coordinate escrow and closing logistics, ensuring all requirements are met.
Prepare settlement documents, verify accuracy of closing packages, and facilitate communication between all closing‑related parties.
Review and finalize closing documents to ensure compliance with legal and transaction requirements.

5. Post‑Closing Support

Complete post‑closing actions including recording documents, preparing final binders, and ensuring all closing deliverables are satisfied.
Work with title companies or local agencies to complete recordings or e‑filings.

General Responsibilities:

Participate in maintaining a tidy and organized office environment.
Provide general hospitality (e.g., greeting clients, preparing closing rooms).
Assist with general administrative tasks as needed to support team operations.
Answer incoming calls and direct them appropriately.
Perform other duties as assigned by management to meet organizational needs.

Qualifications

Associate’s degree in Paralegal Studies required; Bachelor’s preferred.
Commercial real estate or commercial transactional experience consistent with level expectations (1–15+ years).
Strong understanding of commercial real estate terminology, title, survey review, and closing procedures.
Proficiency with legal software, Microsoft Office Suite, and document management systems including Qualia.
Excellent organization, attention to detail, communication skills, and the ability to manage competing deadlines.
