# Healthcare Associate Attorney

Texas Law Firm

## About the Firm

We are a healthcare law firm serving physicians, nurse practitioners, dentists, behavioral health providers, and the businesses that support them. We act as outside general counsel to growing practices — structuring them, keeping them compliant, handling the contracts and regulatory questions that come with expansion, and representing them when a matter requires it.

## The Role

You will work directly with practice owners on the legal questions that determine whether their business can operate, grow, and get paid. This is a client-facing role from the first week. You will own matters, not fragments of matters.

### Regulatory and Compliance

- Advise on the Anti-Kickback Statute, Stark Law, and state fee-splitting and referral restrictions

- Structure arrangements to fit within available safe harbors and exceptions

- Counsel on corporate practice of medicine restrictions and management services organization structures

- HIPAA compliance: policies, business associate agreements, breach analysis and response

- Telehealth: cross-state practice, prescribing, modality, and reimbursement requirements

- Scope-of-practice, supervision, and collaborative practice agreements for advanced practice providers

- Board licensing matters and professional licensure questions

### Transactional and Corporate

- Formation and restructuring of professional entities, including PLLCs and professional corporations

- Practice acquisitions, sales, and affiliations

- Provider employment and independent contractor agreements, including compensation models

- Payer contracting and credentialing

- Vendor, lease, and service agreements

- Trademark and brand protection for practice names, service lines, and provider brands

### Disputes and Proceedings

- Represent providers in board investigations, licensure actions, and administrative proceedings

- Handle payer audits, overpayment demands, and reimbursement disputes

- Pursue and defend contract disputes involving practices, partners, and vendors

- Manage matters through litigation where resolution requires it

### Client Counseling

- Serve as day-to-day contact for outside general counsel clients

- Translate regulatory requirements into decisions a business owner can act on

- Identify risk early and propose workable alternatives rather than only flagging problems

## What We Are Looking For

**Required**

- active license to practice in Texas, or eligibility for admission immediately

- 2–5 years of experience in healthcare regulatory, transactional, corporate, or administrative work

- Demonstrated ability to draft and negotiate agreements independently

- Clear, plain-language writing — our clients are clinicians, not lawyers

**Strongly preferred**

- Exposure to administrative proceedings, board matters, or civil litigation

- Prior work with physician practices, behavioral health, or allied health providers

- Familiarity with Texas Medical Board, Texas Board of Nursing, or HHSC requirements

- Experience with practice formation or the corporate practice of medicine

- Comfort managing a matter from intake through closing without step-by-step supervision

- You return client calls. Deadlines are docketed and met.

- You are candid with clients about what the law permits, including when the answer is no.

- You do good work not work full of typos. You are an adult you handle matters with care and professionalism
