Job Overview

Rize Mortgage is seeking an experienced General Counsel to serve as the company’s principal legal advisor and strategic partner to executive leadership. This role is responsible for overseeing all legal, regulatory, and corporate governance matters across a multi-state mortgage lending platform. The General Counsel will ensure compliance with federal and state laws, mitigate legal risk, support growth initiatives, and provide guidance on licensing, employment, contracts, litigation, and regulatory examinations.

Key Responsibilities

Regulatory & Mortgage Compliance

Serve as primary legal authority on federal and state mortgage laws and regulations, including but not limited to TILA, RESPA, ECOA, HMDA, SAFE Act, UDAAP, AML, CFPB, Freddie Mac, Fannie Mae, and state regulatory requirements.
Advise on NMLS licensing, branch approvals, MLO sponsorships, remote work compliance, and state-specific operational requirements.
Support responses to regulatory examinations, audits, and investor due diligence requests.
Partner with Compliance to assess regulatory changes and implement appropriate policies and controls.

Corporate Governance & Risk Management

Advise executive leadership and the Board on legal risks, corporate governance, and strategic initiatives.
Draft, review, and maintain corporate governance documents, policies, and procedures.
Identify, assess, and mitigate legal and regulatory risks related to company operations, expansion, and acquisitions.

Contracts & Transactions

Draft, review, and negotiate contracts including:
Vendor and technology agreements
Employment, commission, and independent contractor agreements
Branch and team agreements
Confidentiality, non-compete, and data protection agreements
Support mergers, acquisitions, and strategic partnerships as needed.

Employment & Labor Law

Advise HR leadership on employment law, including wage and hour compliance, employee classification, terminations, disciplinary actions, FMLA, ADA, and state-specific labor requirements.
Review and approve employee handbooks, policies, and HR documentation.
Support dispute resolution, claims, and litigation management related to employment matters.

Litigation & Dispute Management

Manage and oversee litigation, claims, and disputes involving the company.
Coordinate with outside counsel and manage legal budgets and resources.
Ensure consistent legal strategy and documentation across matters.

Data Privacy & Information Security

Advise on data privacy, cybersecurity, and information security matters, including compliance with applicable federal and state privacy laws.
Support legal aspects of technology implementations and vendor risk management.

Qualifications & Experience

Required

Juris Doctor (JD) from an accredited law school.
Active license to practice law in at least one U.S. jurisdiction.
7+ years of legal experience, with significant experience in mortgage lending, financial services, or regulated financial institutions.
Strong knowledge of federal and state mortgage laws and NMLS regulatory framework.
Experience advising executive leadership in a fast-growing or multi-state organization.

Preferred

Prior experience as General Counsel or senior in-house counsel within a mortgage lender, bank, or financial services company.
Familiarity with Freddie Mac and Fannie Mae Seller/Servicer requirements.
Experience supporting multi-state licensing, remote workforce models, and branch expansion.
