Full Job Description

Daedalus Law PLLC is seeking attorneys with experience negotiating corporate transactions, primarily NDAs. An ideal candidate will have at least 4-5 years negotiating US corporate transactions for financial or investment clients on both the buy and sell-side at an AmLaw 200 or equivalent firm.

Job Types: Part-time, Contract

Pay: $100.00 per hour

Application Question(s):

When advising a generic buy-side client on an investment NDA with instructions to "keep revisions commercial/within market", which of the below, if any, would you recommend the client push back on and why:

1. No Reps or Warranties made by Discloser about information provided.
2. Obligation to notify Discloser if Recipient is legally required to share information.
3. Non-solicitation covering all employees of Discloser and its affiliates.
4. Governing Law/Venue is Minnesota.
