Position Summary
The Corporate Counsel will serve as a vital in-house legal advisor managing regulatory risk, consumer compliance, and general corporate matters across our national home improvement footprint. This position handles the highly regulated areas of national telemarketing compliance, multi-state in-home sales protocols, and third-party consumer financing relationships. Additionally, the attorney will manage employment matters, protect intellectual property, oversee multi-state collection and mechanics' lien strategies, and resolve consumer protection complaints. A key responsibility of this role is the proactive management, selection, and budget oversight of outside counsel handling localized litigation or specialized regulatory matters.
Key Responsibilities
Outside Counsel & Litigation Management

Direct, evaluate, and manage external legal counsel handling multi-state consumer litigation, complex mechanics lien foreclosures, local licensing issues, or specialized regulatory matters.

Establish, track, and optimize outside counsel budgets, enforcing strict corporate billing guidelines to maximize legal spend efficiency.
- Negotiate alternative fee arrangements (AFAs), review and approve legal invoices, and deliver regular budget-vs-actual financial reports to executive leadership.

Act as the strategic internal lead for escalated disputes, evaluating settlement viability vs. litigation costs to mitigate corporate financial exposure.
National Telemarketing & Consumer Sales Compliance

Ensure strict corporate compliance with federal and state marketing laws, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), Do-Not-Call (DNC) registries, and automated dialing rules.
- Draft, audit, and review scripting, disclosures, and consent mechanisms for digital lead generation, inbound/outbound telemarketing, and text message marketing campaigns.

Audit multi-state in-home sales processes to ensure compliance with the FTC Cooling-Off Rule and varying state-specific "Home Solicitation Sales Acts," including mandatory statutory rights to cancel.
Consumer Financing & Regulatory Oversight

Review and manage corporate relationships with third-party consumer financing partners, ensuring compliant integration of lending products into the consumer sales workflow.

Advise on consumer-facing financing advertisements, credit applications, and point-of-sale financing presentations under the Truth in Lending Act (TILA / Regulation Z), FCRA, and UDAAP standards.

Serve as the primary point of contact for inquiries, investigations, and complaints from federal entities (FTC, CFPB), state Attorneys General, licensing boards, and the Better Business Bureau (BBB).
National Contracting, Collections, & Mechanics' Liens

Structure, maintain, and continually update standard residential home improvement contract templates customized to comply with localized statutory mandates across all operating states.

Draft and negotiate high-volume corporate agreements, including subcontractor agreements, master supply chain agreements, and digital marketing vendor contracts.

Architect and oversee the company’s multi-state consumer collections framework, ensuring compliance with the Fair Debt Collection Practices Act (FDCPA) and managing the strategy for filing, executing, and releasing mechanics' liens across diverse state jurisdictions.
Employment, Labor, & Independent Contractor Classification

Provide continuous legal guidance to the HR team regarding federal, state, and local employment laws across a distributed workforce (including multi-state sales forces, call centers, and corporate personnel).

Manage the rigorous legal analysis and risk mitigation surrounding the classification of W-2 employees vs. 1099 independent contractor installers and construction crews.

Draft and refine localized employee handbooks, commission structures, non-disclosure agreements, and separation packages.
Intellectual Property & Brand Protection

Protect and manage the company’s national intellectual property portfolio, focusing on trademarks, service marks, proprietary marketing content, and digital assets.

Conduct clear IP clearances for national and regional advertising campaigns, preventing regulatory infringement risks or competitor disputes.
Qualifications & Requirements
-
Education: Juris Doctor (JD) degree from an ABA-accredited law school.
- Bar Admission: Active member in good standing of a State Bar.
- Experience: Minimum of 5 to 8 years of practicing law. Strong preference for prior in-house experience in high-volume consumer services, national retail, direct-to-consumer sales, or a multi-state construction/home services legal department.
- Core Technical Competencies:

Proven experience managing outside counsel, negotiating legal fees, and setting corporate legal budgets.

Demonstrated, deep working knowledge of TCPA, TSR, TILA, and FTC marketing/sales rules.

Thorough understanding of multi-state consumer contract disclosures, licensing frameworks, and mechanics' lien processes.

Strong foundation in independent contractor (1099) vs. employee (W-2) compliance.

Exceptional drafting and negotiation skills with a track record of translating complex regulations into clear, executable guidelines for national sales and call center environments.
