Full Job Description

A publicly traded industrial technology company is seeking an experienced Corporate, Securities & M&A Paralegal to support its legal department. This role will assist with SEC reporting and compliance, corporate governance matters, subsidiary management, board and committee support, and domestic and international M&A transactions. The ideal candidate will have experience supporting a public company legal function and thrive in a fast-paced, collaborative environment.

Key Responsibilities

Assist with the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other securities-related documents.
Support corporate governance activities, including board and committee meetings, preparation of meeting materials, resolutions, minutes, and maintenance of corporate records.
Manage domestic and international subsidiary records, entity formations, dissolutions, annual filings, and governance documentation.
Assist attorneys with mergers, acquisitions, divestitures, and other strategic transactions, including due diligence, closing coordination, and post-closing integration activities.
Maintain corporate records and legal entity databases.
Support insider trading compliance, equity administration, and related corporate policies and procedures.
Coordinate with external counsel, internal stakeholders, and business teams on various corporate legal matters.
Conduct legal and corporate research and assist with special projects as needed.

Qualifications

Bachelor's degree and/or Paralegal Certificate preferred.
5+ years of corporate paralegal experience, preferably with a publicly traded company or law firm.
Experience supporting SEC reporting, corporate governance, and transactional matters.
Familiarity with public company compliance requirements and board processes.
Strong organizational skills with the ability to manage multiple priorities and deadlines.
Excellent attention to detail, communication, and project management skills.

Preferred Background

Public company securities and governance experience.
M&A transaction support experience.
Experience managing domestic and international subsidiaries.
Familiarity with stock administration, insider trading compliance, and SEC filings.
