We are seeking an experienced Corporate Counsel to serve as a trusted legal advisor to company leadership and support a broad range of legal matters across our transportation and logistics operations. This position provides legal guidance on commercial contracts, employment matters, corporate governance, regulatory compliance, litigation management, real estate transactions, and strategic business initiatives.
The successful candidate will be a business-minded attorney who can provide practical legal advice, identify and mitigate risk, and partner effectively with leaders across the organization.
Essential Functions
- Provide legal counsel and guidance to executive leadership on business operations, corporate initiatives, and legal risk.
- Participate in the development and implementation of corporate policies, procedures, and programs to support organizational objectives and compliance requirements.
- Review, draft, negotiate, and advise on a variety of commercial agreements, including customer, vendor, and service contracts.
- Serve as a key legal advisor on significant business transactions, including acquisitions, divestitures, financing activities, and other strategic initiatives.
- Advise on corporate governance matters and support the maintenance of corporate entities and related legal records.
- Manage and coordinate outside counsel on litigation, employment matters, regulatory issues, and specialized legal matters.
- Assess legal risks and provide practical recommendations to support sound business decisions.
- Support real estate transactions, including purchasing, leasing, and related contractual matters.
- Partner with Human Resources on employment and labor-related matters, including policy interpretation, employee relations issues, and compliance concerns.
- Monitor legal and regulatory developments that may impact company operations and recommend appropriate actions.
- Assist in developing strategies to minimize legal exposure and protect company interests.
- Ensure the company conducts business in compliance with applicable federal, state, and local laws and regulations.

Required Education and Experience
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in Washington or Idaho.
- Minimum of 3 years of legal experience in a law firm, corporate legal department, or combination of both.
- Experience reviewing, drafting, and negotiating commercial contracts.
- Experience advising on employment law, corporate governance, and regulatory compliance matters.
- Strong understanding of business transactions and risk management principles.
Preferred Qualifications
- Experience supporting transportation, trucking, logistics, or other highly regulated industries.
- Experience working on corporate governance matters and entity management.
- Experience with real estate acquisitions, leasing transactions, and contract negotiations.
- Experience managing litigation and outside counsel relationships.
- Experience supporting mergers, acquisitions, or other complex business transactions.
- Knowledge of transportation regulations and industry-specific legal issues.
