Full Job Description

ContractsManager – Mergers & Acquisitions

Our client is seeking an experienced Contracts Manager to support the full lifecycle of commercial and government contracts while playing a key role in mergers, acquisitions, and corporate integration initiatives. This position partners closely with Legal, Finance, Business Development, and executive leadership to evaluate contractual risk, conduct due diligence, manage novation activities, and ensure seamless contract transitions throughout the acquisition process. The ideal candidate has a strong background in government contracting, contract administration, and post-acquisition integration.

Key Responsibilities

Administer the full contract lifecycle, including proposal review, negotiation support, execution, modifications, renewals, and closeout.
Review and negotiate customer, subcontractor, teaming, vendor, and nondisclosure agreements.
Lead or support contract novation packages resulting from mergers, acquisitions, divestitures, and corporate restructures.
Coordinate novation agreements with contracting officers, customers, legal counsel, and internal stakeholders to ensure timely approvals and uninterrupted contract performance.
Prepare and submit novation documentation in accordance with FAR Part 42.12, including required supporting documentation and government notifications.
Conduct contract due diligence during acquisitions by evaluating assignment restrictions, consent requirements, funding status, contract risk, and compliance obligations.
Support mergers, acquisitions, and asset purchases by reviewing active contract portfolios and identifying contractual impacts on transaction structure.
Coordinate contract assignments, change-of-control notifications, and post-closing integration activities.
Ensure compliance with FAR, DFARS, agency-specific regulations, and internal policies.
Maintain accurate contract files and support internal, external, DCAA, and DCMA audits.
Partner with Legal, Finance, Program Management, and Business Development to resolve complex contractual issues and mitigate risk.

Qualifications

Bachelor's degree in Business, Contracts Management, Legal Studies, Finance, or a related field.
5+ years of contracts administration experience, preferably within a government contracting environment.
Demonstrated experience preparing and managing government contract novations.
Experience supporting mergers and acquisitions, corporate due diligence, and contract integration.
Strong working knowledge of FAR Part 42.12 (Novation and Change-of-Name Agreements), FAR, DFARS, and federal procurement regulations.
Excellent analytical, negotiation, communication, and organizational skills.

Preferred Qualifications

Experience supporting federal government contractors.
Familiarity with DCAA and DCMA requirements.
Experience with Deltek Costpoint, Deltek CLM, Unanet, or other contract lifecycle management systems.
NCMA certification (CPCM or CCCM) preferred.

Pay: $55.00 - $65.00 per hour

Work Location: Hybrid remote in McLean, VA 22103
