Please Note: This is a fully remote opportunity; however, candidates must currently reside within the Central Time Zone or the New York area.

Job Description

UB Greensfelder is seeking an experienced transactional attorney with a strong background in hedge funds, private equity funds, and investment management to support sophisticated institutional clients on an ongoing independent contractor basis.

This role will focus on fund diligence and commercial contract negotiation, including review of fund offering materials and related documentation for investments in hedge funds and private equity funds managed by large institutional asset managers as well as review and negotiation of NDAs and vendor contracts for investment advisory clients. The attorney will be expected to conduct efficient, high-level reviews, identify material issues and potential red flags, and provide practical, commercially focused analysis.

This is an excellent opportunity for an experienced funds attorney who is comfortable working independently and can deliver sophisticated legal analysis without extensive supervision.

Key Responsibilities

Conduct legal due diligence reviews relating to hedge fund and private equity fund investments
Review private fund offering materials and related fund documentation
Analyze key investment terms, structural provisions, and potential legal or operational red flags
Assist with negotiation and drafting of side letters relating to underlying private fund investments
Assist with ongoing fund diligence and monitoring as client needs require
Review and negotiate NDAs and vendor agreements for investment management clients
Deliver concise, practical findings within required turnaround times
Work independently while meeting firm and client standards for quality, accuracy, and responsiveness

Required Qualifications

J.D. from an accredited law school
Active license to practice law in at least one U.S. jurisdiction
Minimum of 3–4 years of substantive legal experience involving hedge funds, private equity funds, investment management, or related private fund matters
Demonstrated familiarity with private fund offering materials and other fund documentation
Experience reviewing and analyzing hedge fund and/or private equity fund terms
Strong understanding of investment terms related to underlying private funds
Excellent analytical, drafting, and written communication skills
Ability to identify significant legal and business issues efficiently
Ability to manage assignments independently and meet client-driven deadlines

Preferred Experience

Experience representing or working with large institutional asset managers
Experience advising institutional investors or other sophisticated investment clients
Fund-of-funds investment experience
Operational and fund due diligence experience
Prior large law firm, investment management, or sophisticated in-house experience

Work Structure

This is a remote independent contractor opportunity intended to support an ongoing client need. The successful attorney should have sufficient availability to respond promptly to assignments and deadlines and should be comfortable becoming part of a reliable, ongoing team supporting institutional investment clients.

Compensation is expected to be approximately $275 per hour, with the possibility of flat-fee compensation for individual fund reviews depending on the nature and scope of the assignment.

Pay: $275.00 per hour
