Transactional Business Attorney

Location: Maryland (Hybrid)
Compensation: $120,000–$200,000+ DOE

Our client, a highly respected and growing mid-sized law firm, is seeking an experienced Transactional Business Attorney to join and help lead its expanding business law practice. This is a unique opportunity for an entrepreneurial attorney who enjoys sophisticated transactional work and wants to play a meaningful role in building and growing a practice group.

This position offers a clear path to leadership, significant client interaction, and the opportunity to influence the strategic direction of a thriving transactional practice.

Responsibilities

Draft, review, and negotiate a broad range of business and commercial agreements, including:
- Vendor and service agreements
- Non-disclosure agreements (NDAs)
- Licensing agreements
- Partnership and operating agreements
- General corporate contracts
Advise clients on legal and business risks associated with complex transactions.
Lead and support mergers, acquisitions, and other corporate transactions, including due diligence and deal execution.
Counsel clients on corporate governance, entity formation, and ongoing compliance matters.
Collaborate with business owners, executives, and key stakeholders to provide practical legal solutions.
Mentor and supervise junior attorneys and support staff.
Help develop and expand the firm's transactional practice through client development and strategic growth initiatives.
Coordinate with outside advisors and specialists when necessary.

Qualifications

J.D. from an accredited law school.
Active bar license in good standing.
5+ years of corporate and transactional law experience.
Strong background in drafting and negotiating complex commercial agreements.
Experience handling corporate transactions, entity matters, and business operations issues.
Prior leadership, management, or mentoring experience is preferred.
Excellent communication, negotiation, and client-facing skills.
Self-starter with an entrepreneurial mindset and interest in helping grow a practice.
Ability to manage sophisticated matters independently with minimal oversight.
