About the Company

Spark Management LLC is a management company headquartered in Bellevue, Washington. Founded in 2011, the organization supports affiliated physician practices at surgical centers in Seattle, Bellevue, Denver, Dallas, Houston, Atlanta, Los Angeles, and Chicago, with additional markets in development. The group operates a management services (MSO) model, and its brands are protected by a nationally registered trademark portfolio and an issued utility patent backed by an active enforcement program. Spark is also investing in new ventures and real estate alongside the core business. This is a first-chair opportunity: you will be the company's first in-house attorney, reporting directly to the founder, with a mandate to build the legal function from the ground up.

The Role

We are looking for a builder: a business-minded attorney who wants ownership of a complex, fast-moving legal landscape rather than a narrow lane. You will be the continuous owner of everything legal: the contract stack, the corporate structure, the IP portfolio, the enforcement pipeline, and the outside-counsel relationships. Specialist work (trial advocacy, patent prosecution, healthcare regulatory) stays with excellent outside firms; you quarterback all of it and keep the institutional file no law firm can keep for us.

What You Will Own

Contracts. The full lifecycle of the company's agreement stack: management services agreements with affiliated medical practices across all centers, physician independent-contractor and medical-director agreements, office and equipment leases, vendor and marketing agreements, and employment and separation agreements. First-year priority: a complete contract matrix with every agreement current, executed, and calendared.

Corporate. Maintenance of a multi-entity structure (holding companies, operating LLCs, and affiliated professional entities in multiple states): governance records, annual filings, registered agents, minute books, and coordination with corporate and healthcare counsel on corporate-practice-of-medicine requirements.

Intellectual property. Day-to-day ownership of a portfolio of 20+ trademark registrations and applications, an issued utility patent with a pending continuation, and the docketing calendar behind all of it: renewals, maintenance fees, declarations, specimens and evidence-of-use files, chain-of-title hygiene, and coordination of outside prosecution counsel.

Brand enforcement. Run the enforcement pipeline: monitoring, intake, evidence files, demand letters drafted inhouse, and disciplined escalation of the matters that merit outside counsel. The company has a long-standing and active policing program; you will make it systematic.

Litigation management. Manage outside trial counsel on active federal litigation and TTAB matters: budgets and phase plans, monthly billing review, discovery coordination, litigation holds, and document management. You will not try the cases; you will make sure they are run efficiently and that the company is always the best-prepared party in the room.

Legal operations. Select and implement a matter-management and docketing system, build the outside-counsel budget framework, and create the permanent legal file (entity charts, IP evidence binders, contract matrix, and deadline calendar) that survives any change of firms.

What We Are Looking For

J.D. from an accredited law school; active Washington bar membership or eligibility for admission.
8-15 years of combined law firm and in-house experience; prior in-house experience strongly preferred.
Background in healthcare services, MSO/multi-site medical, or another regulated multi-entity operating business strongly preferred.
Real fluency in commercial contracts and corporate maintenance; comfort owning a high-volume contract calendar personally.
Trademark portfolio management experience (prosecution experience a plus; portfolio and enforcement literacy required). Patent bar not required.
Demonstrated success managing outside counsel against budgets, including active litigation.
An operator's mindset: checklists, calendars, systems, and follow-through. You measure yourself by what never falls through the cracks.
Comfortable as the sole lawyer in a founder-led, fast-decision environment; able to give direct advice and put it in writing.

Nice to Have

Experience supporting companies through trial alongside outside counsel.
Employment law depth for a multi-state workforce.
Experience with brand licensing, franchising, or trademark licensing structures.
Transactional exposure to new-venture formation, leasing, or real estate.

Compensation: $230,000 to $350,000 base, depending on experience, plus performance bonus. Benefits include medical/dental/vision, PTO, and retirement plan.
