Full Job Description

Position Overview

Ivy Lane Corporation is seeking an experienced and detail-oriented Paralegal to join our corporate headquarters in Milwaukee, Wisconsin. Ivy Lane is one of the premier Valvoline franchisees, owning and operating nearly 90 Valvoline Instant Oil Change businesses.

This role will support executives and attorneys across all M&A, claims, and labor and employment matters. The ideal candidate will have a strong background in corporate and employment-related legal work, excellent organizational skills, and the ability to manage multiple priorities in a fast-paced environment.

Key Responsibilities

Key responsibilities include the following:

Assist with all phases of M&A transactions, including due diligence, document preparation, closing coordination, and post-closing integration.
Support the management of claims, including intake, tracking, documentation, communications with insurers and outside counsel, and resolution of pending matters.
Assist with labor and employment matters, including policy review and updates, employee relations issues, agency charges (EEOC and similar), and litigation support.
Draft and manage corporate documents such as operating agreements, resolutions, consents, and entity formation filings.
Maintain corporate records and ensure compliance with state and federal regulations across a multi-entity franchise structure.
Coordinate and track closing checklists, signature pages, and deliverables.
Conduct legal research and summarize findings for attorneys.
Liaise with internal departments, outside counsel, and regulatory agencies.
Manage data rooms and organize transaction documentation.

Qualifications

Minimum of 5 years of experience as a corporate paralegal, with exposure to M&A, claims management, and/or labor and employment matters.
Bachelor's degree or paralegal certificate from an ABA-approved program.
Strong understanding of corporate governance, entity management, and transactional processes.
Proficiency in Microsoft Office Suite and legal document management systems.
Exceptional attention to detail and organizational skills.
Ability to work independently and collaboratively in a team environment.
Excellent written and verbal communication skills.
Preferred Skills
Experience with multi-entity and franchise organization structures.
Familiarity with employment law, workers' compensation, and general liability claims.
Experience supporting M&A closings and post-closing integration of acquired businesses.
