Job Title: In-House Corporate Counsel

Location: Irvine / Tustin Market Place, CA (In Office)

Position Type: Full-Time

Salary Range: $150,000 – $175,000 per year (Commensurate with experience)

About the Company:

We provide comprehensive management, administrative, and operational support to a dynamic portfolio of businesses. We are currently seeking an In-House Corporate Counsel to provide dedicated legal services to our clients which include, but are not limited to, marketing and lead-generation companies, high-volume call centers, advertisers and service providers.

Position Overview:

We are seeking a versatile, highly skilled, and business-minded In-House Corporate Counsel to join our team. Reporting directly to the executive team, you will act as the legal backbone of our operations, ensuring that client marketing practices, warranty products, and corporate structures are legally compliant and protected against risk. The ideal candidate is a proactive problem-solver who is comfortable wearing multiple hats and navigating a wide range of legal matters, from commercial contract review and regulatory compliance, to advising on complex California employment laws and managing outside litigation counsel.

Key Responsibilities:

· Review, investigate, and draft strategic responses to consumer complaints, particularly inquiries and escalations filed with state Departments of Insurance (“DOI”), Attorneys General, and the Better Business Bureau (“BBB”).

· Ensure sales practices comply with state-specific regulations across various jurisdictions.

· Advise on and ensure compliance with federal and state telemarketing laws (e.g., TCPA) and advertising standards relevant to marketing and call center operations.

· Draft, review, and negotiate a wide variety of commercial agreements, including advertising and marketing contracts, vendor agreements, software licenses, and non-disclosure agreements.

· Oversee, maintain, and ensure compliance with the primary service and operating agreements between the various clients.

· Partner closely with the Human Resources department to provide practical guidance on California and federal employment matters.

· Provide actionable legal advice on wage and hour compliance, employee classification, leaves of absence, progressive discipline, and terminations.

· Manage pre-litigation disputes, demand letters, and active litigation matters to mitigate risk and protect the company’s bottom line.

· Select, retain, and manage outside counsel to ensure cost-effective, high-quality legal representation when specialized expertise or formal litigation defense is required.

· Maintain corporate records, entity registrations, and operating agreements.

· Draft board resolutions, manage annual state filings, and advise executive leadership on general corporate governance and day-to-day strategic business initiatives.

Qualifications:

Juris Doctor (J.D.) degree from an accredited law school.

Active member in good standing with the State Bar of California, or eligible to register as California In-House Counsel.

5 to 7+ years of relevant legal experience, preferably with a mix of law firm training and in-house corporate experience. Prior experience dealing with state Departments of Insurance, the automotive/vehicle warranty industry, or call center/marketing compliance is highly preferred.

Strong working knowledge of California employment law. Excellent contract drafting and negotiation skills. Ability to translate complex legal issues into actionable, business-friendly advice. Strong interpersonal skills to build collaborative relationships with executives, HR, and sales management.
