Full Job Description

Location: 100% On-Site | Orange County, CA

Work Schedule: Operations start at 6:00AM-6:30AM

Job Summary :

Under minimal direction, the Corporate Paralegal and Compliance Specialist will manage the company's day-to-day corporate compliance, legal administration, and regulatory documentation functions. This role will act as a core support hub for our executive team, maintaining corporate entities, reviewing contracts, and ensuring absolute compliance with applicable laws and municipal operational requirements.

Reports to : Chief Financial Officer and Executive Vice President

Duties/Responsibilities: Corporate Governance & Shareholder Support

Manage and file all necessary City, County and state registrations.
Maintain accurate corporate minute books, resolutions.
Administer shareholder support tracking, including issuing and managing stock certificates, ledgers.

Contract Management & Transactional Support

Coordinate the initial administrative review of vendor contracts, NDAs, and other business agreements; identify inconsistencies, track revisions, prepare proposed edits, and escalate matters requiring legal interpretation or approval.
Certificate of Insurance, Bonds and related documents as required.
Assist in specialized due diligence and document management for property purchases and property leases.

Labor & Regulatory Compliance

Research applicable prevailing-wage requirements and administer ongoing California DIR/public works reporting and recordkeeping
Support administrative tracking and documentation for company Worker’s Compensation claims and renewals.
Coordinate operational compliance and rigorous record-keeping for the company’s regional Vanpool program requirements.

Case & Intellectual Property Support

Serve as the company's administrative point of coordination for litigation matters, including organizing documentation, maintaining case files, tracking deadlines, and coordinating requested materials
Facilitate administrative tracking and standard form drafting for the protection of company patents and trademarks.
Regular punctuality, attendance, and absence reporting in conformance with company policies is essential to the successful performance of this position; and
Fully comply with company rules, policies, procedures, and safety guidelines to ensure safe and effective operations.

QUALIFICATIONS GUIDELINES:

Any combination equivalent to, but not limited to, the following:

Experience/Training/Education :

Bachelor’s degree relevant to position and/or American Bar Association (ABA) approved Paralegal Certificate.
Minimum 3-5+ years of in-house Corporate legal department or business law firm experience.
California labor knowledge: Demonstrate experience navigating California-specific regulatory bodies, specifically DIR reporting and prevailing wage structures.
Software: High proficiency with entity management portals, e-filing systems, and contract lifecycle management tools.

Physical Requirements :

Most work tasks are performed indoors where temperature is moderate and controlled by office environment systems;
Ability to work (sit and/or stand) at a desk for the majority of the work day; walking and/or standing may be required for the remainder of the work day. Length of time performing these physical requirements may vary from day to day and task to task;
Requires grasping, writing, sitting, standing, walking, repetitive motions, pulling, pushing, listening, hearing ability, and visual acuity;
Ability to operate office equipment such as computers, printers, filing cabinets, and other office equipment as applicable;
Ability to occasionally lift and/or carry up to 15 lbs.;
Ability to safely walk/move about on uneven and/or sand-covered surfaces throughout the 20-acre facility; and
Ability to perform essential functions of the job, as defined;

Compensation

The projected annual salary is estimated at $70,304 - 90,000 per year, based on years of demonstrated experience, representing the span of the range. The actual compensation will be formulated by the client and may vary based on factors that include, but are not limited to, the position offered, work experience, education, training, and commensurate experience.
