Full Job Description

Job Overview
International Equity Partners is seeking a Corporate Counsel to support high-volume healthcare real estate and operating transactions. This role will work directly with the General Counsel on acquisitions, operator transfers, financings, regulatory compliance, and litigation oversight.

This is a hands-on, deal-driven role for an attorney who wants exposure to complex transactions, healthcare regulation, and real-world risk allocation.

Cores Responsibilities:

1. Transaction Support & Document Management

· Prepare and review first-draft transaction documents (OTAs, APAs, MOUs, NDAs); alongside general counsel, interface with outside counsel on developments of negotiations and deal points.

· Track escrows, indemnities, holdbacks, and survival periods

· Maintain closing checklists and post-closing obligation trackers

· Summarize diligence findings for GC review

2. Regulatory & Licensing Coordination

· Track licensing, permit, and operator approval requirements by jurisdiction

· Coordinate with outside healthcare regulatory counsel

· Prepare regulatory condition summaries for transactions and transfers

· Maintain timelines for operator transitions and agency filings

3. Entity & Financing Support

· Assist with entity charts, guarantor scope summaries, and affiliate structures

· Prepare responses to perfection certificates and lender questionnaires

· Flag over-broad representations relating to assets, insurance, or accounts

4. Compliance & Grant Administration

· Maintain compliance calendars and evidence repositories

· Support grant reporting, certifications, and audit readiness

· Track conditional awards, milestones, and reporting deadlines

· Audit Leases and Loan Agreements to assist the Company in maintaining compliance

5. Internal & External Coordination

· Serve as primary legal point for day-to-day deal logistics

· Coordinate between operations, finance, outside counsel, and principals

· Prepare clear issue lists and decision memos for GC review

Qualifications

· JD from an accredited law school; admitted or eligible for CA Bar

· 2–4 years experience in corporate, real estate, or healthcare law (all three preferred)

· Strong comfort with transactional documents and issue tracking

· Organized, deadline-driven, and detail-oriented

· Ability to communicate legal issues in plain English

Pay: From $125,000.00 per year
