Location: Remote (U.S. Preferred)
Type: Part-Time Contract — approximately 15 hours/week initially, with opportunity to expand
Compensation: $150–$175/hour, commensurate with experience

Candidates must have deep, hands-on experience negotiating sophisticated biotech/pharma agreements. Experience working with contracts as part of a clinical operations role, without substantial independent contract negotiation responsibility, does not meet the requirements for this position.

Position Overview
We are seeking a highly experienced life sciences contracts professional who can independently review, redline, negotiate, and advise on complex biotech and pharmaceutical agreements.
This is not an administrative contracts role. The successful candidate must be comfortable owning negotiations directly with sophisticated counterparties and advising clients on legal, business, operational, privacy, and compliance risk.
The role will also serve as a senior client success lead—managing client relationships, mentoring team members, overseeing quality, and acting as a trusted extension of TaktiKa's Founder & CEO.
Key ResponsibilitiesLife Sciences Contract Negotiation
Independently draft, review, redline, negotiate, and advise on agreements including:
- Clinical Trial Agreements (CTAs)
- CRO MSAs and Statements of Work
- CMO/CDMO and manufacturing agreements
- MSAs and commercial agreements
- Consulting agreements
- Vendor and supplier agreements
- SaaS and technology agreements
- Data Processing Agreements (DPAs)
- Quality Agreements
- CDAs/NDAs
- Work Orders, Amendments, and Change Orders
Advise clients and negotiate provisions involving:
- Indemnification and limitation of liability
- Intellectual property and licensing
- Confidentiality
- Regulatory and clinical research obligations
- Manufacturing and supply-chain risk
- Data security and privacy
- Audit rights
- Insurance
- Service levels
- Financial terms, including FX, inflation, advances, and prepayments
Identify material risks and recommend practical solutions aligned with client business objectives and risk tolerance.
Privacy & Data Protection
Provide practical contracting expertise involving:
- DPAs and privacy provisions
- Standard Contractual Clauses (SCCs)
- GDPR and UK GDPR
- International data transfers
- Vendor privacy and security exhibits
- Data retention, deletion, security, and breach notification
Candidates should understand SCC module selection, including Controller-to-Controller, Controller-to-Processor, Processor-to-Processor, and Processor-to-Controller transfers.
Client Success & Leadership
Serve as a senior point of contact and trusted advisor for assigned clients.
Responsibilities include:
- Managing priorities across multiple client engagements
- Maintaining high-quality, timely contract delivery
- Advising client stakeholders on contracting strategy and risk
- Proactively identifying issues and opportunities
- Building strong relationships with legal, executive, procurement, clinical, and business stakeholders
- Supporting client satisfaction and retention
- Escalating material issues appropriately
Team Leadership
Mentor Contracts Associates and other team members on:
- Contract interpretation and risk assessment
- Negotiation strategy
- Client communications
- Contracting processes and best practices
Support TaktiKa's Founder & CEO with client delivery, resource planning, quality control, training, and development of scalable contracting practices.
Required Qualifications
- 7+ years independently reviewing and negotiating contracts for biotechnology and/or pharmaceutical companies
- Deep, hands-on experience negotiating sophisticated life sciences agreements
- Demonstrated experience with CTAs, CRO MSAs/SOWs, CMO/CDMO agreements, commercial MSAs, vendor agreements, and DPAs
- Ability to independently lead negotiations with sophisticated counterparties
- Practical knowledge of GDPR, SCCs, and international data transfers
- Strong contract drafting, redlining, issue-spotting, and risk-assessment skills
- Strong executive presence and client-facing communication skills
- Ability to manage multiple clients and competing priorities
- Experience mentoring or guiding junior contracts professionals
Candidates whose experience is primarily in clinical operations, clinical trial management, study management, or contract administration without substantial independent contract negotiation experience will not be considered.
Preferred Qualifications
- JD, Paralegal Certificate, or equivalent depth of contracts/legal experience
- CIPP/US, CIPP/E, CIPM, or similar privacy certification
- Consulting experience supporting multiple organizations simultaneously
- Experience supporting venture-backed and high-growth biotech companies
