Full Job Description

Corporate Governance & Entity Management Counsel (Remote, Part-Time)

Latitude is seeking an experienced attorney to support corporate governance and entity management matters on a flexible, part-time basis. This role will focus on maintaining and managing corporate entities across domestic and international jurisdictions and supporting ongoing governance activities. Key responsibilities include drafting and managing intercompany agreements, preparing written consents and related corporate governance documentation, supporting domestic and international entity restructurings in coordination with outside counsel and assisting with ongoing entity management and corporate records maintenance.

Prior experience working at an Am Law 200 corporate law firm, a sophisticated boutique firm, or in-house corporate legal department is preferred.

Requirements for the Corporate Governance & Entity Management Counsel:

Licensed to practice law and in good standing in state of residence
At least 5 years of corporate/transactional experience within a law firm or corporate legal department
Significant experience in corporate governance and entity management
Familiarity with domestic and international corporate restructurings
Experience with M&A and financing transactions is a plus
Excellent analytical, written, verbal and interpersonal skills as well as the flexibility and emotional intelligence needed to successfully "parachute in" to meet a client's needs
Strong communication, technology, and organizational skills
J.D. from an accredited law school

Position Details of the Corporate Governance & Entity Management Counsel:

Type of role: Contract engagement
Schedule: Part-time (10-20 hours/week)
Location: Remote

Compensation:

Pay: The annualized pay for this position ranges from $180,000 to $210,000 when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate's preference (each candidate's pay rate affects the client bill rate which can affect the candidate's competitiveness for the position).

Benefits: In addition to pay, all Latitude attorneys and other legal professionals working on contract engagements receive complimentary professional liability insurance coverage for work or acts or omissions provided within the scope of a Latitude-authorized engagement. All Latitude employees (including those on contract engagements) are also eligible for full benefits when working 20+ hours per week, including group medical, dental, and vision insurance, and complimentary group life, LTD and AD&D insurance. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
