Full Job Description

Latitude is assisting a Seattle boutique law firm in identifying an attorney with strong commercial transactions experience, particularly in asset sales and acquisitions involving bankruptcy, insolvency, and receivership matters. This part-time, fully remote opportunity will support sophisticated distressed transactions, including negotiating purchase agreements, managing diligence, coordinating court-related approvals, and guiding clients through high-stakes, time-sensitive deals. Washington bar admission is preferred, but not required for the right candidate with relevant experience.

This is an excellent opportunity for an attorney who enjoys sophisticated transactional work and advising clients through complex distressed deal environments.

Key Responsibilities

Advise clients on commercial transactions involving distressed assets, including bankruptcy sales, receivership proceedings, and insolvency-related transactions
Draft, review, and negotiate asset purchase agreements, sale documents, and related transaction agreements
Manage due diligence, title review, and transaction structuring across complex deals
Coordinate with lenders, trustees, receivers, opposing counsel, and other stakeholders throughout the transaction lifecycle
Support court approval processes and related filings where required
Provide practical, business-focused legal advice to clients navigating distressed and time-sensitive transactions

Qualifications

J.D. from an accredited law school
Active bar membership in good standing
Meaningful experience handling commercial transactions, particularly in bankruptcy, insolvency, or receivership settings
Strong drafting and negotiation skills across asset sales, acquisitions, and related transactional matters
Familiarity with court-supervised sales processes, including bankruptcy and receivership proceedings
Ability to manage multiple matters independently in a fast-paced environment
Law firm experience preferred

Compensation:

Pay: The annualized pay for this position ranges from $160,000-$200,000+ when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).

Benefits: In addition to pay, all Latitude contract professionals receive complimentary professional liability insurance coverage. Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude contract professionals receive complimentary Group Life, LTD and AD&D. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
