Job Summary

Gaynor is a full-service transactional law firm that provides business and legal advice to clients across the country and the world. Our practice areas include Mergers & Acquisitions, Capital Markets, Commercial Real Estate, International Transactions, and General Corporate Counsel.

Our firm is looking for an experienced and proactive Corporate Paralegal to assist our attorneys and clients with a wide range of corporate and transactional matters. The ideal candidate takes ownership of their work, anticipates what needs to be done to keep matters moving, and maintains a high level of accuracy, professionalism, and pride in their work.

Responsibilities

Prepare and file organizational and formation documents for corporations, partnerships, limited liability companies, and other business entities, including charters, bylaws, operating agreements, EIN applications, and related consents; maintain electronic minute books and corporate ownership records.
Research, prepare, file, and track state corporate and federal and state securities filings, including entity formations, foreign qualifications, DBA filings, SEC filings, and state Blue Sky filings.
Support attorneys throughout complex corporate transactions from drafting through signing and closing, including equity and debt financings, mergers and acquisitions, fund formations, credit facilities, real estate transfers, and other corporate matters.
Coordinate transaction closings, including maintaining closing checklists, tracking outstanding deliverables, managing DocuSign signature process, and coordinating execution and follow-up with attorneys, clients, and other transaction parties.
Prepare, organize, and finalize transaction documents, including signature materials, exhibits, ancillary documents, and electronic closing binders.
Draft, revise, and assist with transaction-related documents, including written resolutions and consents, stock powers, membership interest assignments, grant deeds, and other ancillary documents.
Maintain organized client files, transaction workrooms, and electronic records, and coordinate electronic delivery of executed and final transaction documents.
Serve as a point of contact for clients on administrative and transactional matters, including coordinating meetings and calls, tracking action items, and helping keep matters on schedule.
Assist attorneys with deadline and workflow management across multiple matters and maintain accurate matter information in Clio (our billing software), including budgets, timelines, and contacts.
Manage multiple matters and competing deadlines in a fast-paced environment while maintaining a high level of accuracy, organization, and attention to detail.

Experience

3+ years of prior work experience
Technical Skills: Proficient with Microsoft Suite applications including Outlook, Excel and Word, Zoom and other administrative tools
Experience with Clio and DocuSign preferred but not required
Must be organized, able to multi-task and thrive in a fast-paced and demanding environment

Education

Bachelor's Degree (Required)
